1. Acceptance of these terms

LabsInvestors.com (the “Portal”) is operated by Labs Companies, Inc. (“Labs,” “we,” “us”) for the Company’s equity owners — its “Labs Investors.” By accessing the Portal, requesting access, or signing in with credentials furnished to you, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not access the Portal.

2. Restricted, credentialed access

The Portal is private. Access is requested through the Portal or at access@labsinvestors.com, verified by Investor Relations together with our legal team — verification of investor batches can take up to 14 business days — and granted by individually furnished credentials. Credentials may not be shared or transferred, and Labs may suspend or revoke access at any time, with or without notice.

3. Confidentiality

Materials available through the Portal — including statements, certificates, and investor documents — are private and confidential, furnished for your personal informational use only, and are not for distribution, reproduction, or public disclosure without the prior written consent of Labs.

4. No offer of securities; no advice

Nothing on the Portal constitutes an offer to sell, or the solicitation of an offer to buy, any security, nor investment, legal, accounting, or tax advice. Any offering by Labs Companies, Inc. is conducted separately, in reliance on an applicable exemption from registration under the Securities Act of 1933, including Regulation D Rule 506(c), and solely through the definitive documents governing that offering. Labs securities are offered and sold only by Labs directly — never by a broker, dealer, investment advisor, finder, reseller, agent, or other intermediary, and never by an existing stockholder. Labs has not created, issued, or authorized any cryptocurrency, token, or other digital asset; any such offer is fraudulent.

5. Intellectual property

The Portal and all content on it — text, documents, graphics, logos, emblems, wordmarks, and software — are the property of Labs Companies, Inc., with all rights reserved to Labs IP, LLC, by way of Labs IP - Management, LLC. No license or other right in any of the foregoing is granted by your access to the Portal.

6. Acceptable use

You agree not to probe, scan, or test the vulnerability of the Portal; attempt to bypass the sign-in or any security measure; submit false information in an access request; scrape or bulk-download content; or use the Portal in violation of any applicable law.

7. Disclaimers and limitation of liability

The Portal and its content are provided “as is” without warranties of any kind. Past fundraising performance and prior valuations are not indicative of future results. To the maximum extent permitted by law, Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, the Portal.

8. Changes

We may update these Terms from time to time. The date above reflects the most recent revision; continued use of the Portal after a revision constitutes acceptance of the revised Terms.
